Prior to joining SEDA, Nina Rodriguez served as the COO and Managing Director at Kalorama Partners & Kalorama Legal Services PLLC (together "Kalorama Partners") in Washington, D.C. where she worked alongside Harvey Pitt, 26th Chairman of the Securities and Exchange Commission as Principal and subsequently COO & Managing Director. In her role, Ms. Rodriguez organized and co-headed a two-year internal investigation of the Public Company Accounting Oversight Board, which involved the preparation and interview of over fifty employees and resulted in the creation of a Report setting forth fifty-two recommendations on governance policies. In addition, she spearheaded the preparation of expert reports and testimonies that have impacted major companies such as Wells Fargo, Snap, Inc., and Signet Jewelers Limited. Ms. Rodriguez maintains extensive familiarity with corporate governance regulations, best practices, and up-to-date guidance in both the United States (including Forms 10-K, 10-Q, 8-K, Registration Statements, and 20-F) and the United Kingdom.
Ms. Rodriguez managed the firm's daily operations and provided expert legal advice, and consulting, on various issues such as marketplace expectations of public company disclosures, materiality, corporate governance, Rule 10b-5, ESG disclosures, insider trading, and management responsibilities. Ms. Rodriguez also provides consulting services to emerging businesses and start-ups, drafting formation documents, strategic planning, risk management, and ensuring regulatory compliance. Beyond her professional obligations, Ms. Rodriguez has provided pro-bono representation to regulatory agency employees subject to internal investigations or wrongful termination.
Ms. Rodriguez has a Master of Laws in International Business from King's College London in addition to a JD from the American University Washington College of Law. Ms. Rodriguez practices in London, Miami, and Washington D.C. and is bilingual in English and Spanish, affording her the ability to tackle complex cross-border legal issues, as well as a global client base.
